Unless otherwise indicated, the Services and all content and materials on the Services, including, without limitation, our logo, and all designs, text, graphics, pictures, information, data, software, sound files, other files, and the selection and arrangement thereof (collectively, "Our Content") are the proprietary property of Terrorimar or our licensors and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use Our Content solely for personal, non-commercial purposes related to your use of the Services. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of Our Content without our prior written consent.

Your Content

You may be able to upload, submit, store, send, or receive content through the Services, including text, images, and other materials (collectively, "Your Content"). You retain ownership of any intellectual property rights that you hold in Your Content.

By submitting Your Content to the Services, you grant us a worldwide, royalty-free, non-exclusive, perpetual, irrevocable, transferable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display Your Content in connection with operating and providing the Services.

You represent and warrant that (i) you own Your Content or have the right to grant the rights and licenses contained in these Terms, and (ii) Your Content does not violate the privacy rights, publicity rights, copyright rights, intellectual property rights, contract rights, or any other rights of any person or entity.

Service Fees and Purchases

Fees and Payment

Certain aspects of the Services, such as enrolling in courses or workshops, may require payment of fees. You agree to pay all fees and charges incurred in connection with your use of the Services at the rates in effect when such charges are incurred.

All payments must be made using a valid payment method. You authorize us to charge your designated payment method for all fees and charges incurred in connection with your use of the Services. If your payment method is declined, you agree to provide an alternative payment method upon our request.

All fees are exclusive of applicable taxes, which will be charged as appropriate based on your location.

Our refund policy for courses, workshops, and other services is as follows:

We reserve the right to change our refund policy at any time. Any changes will not apply retroactively to purchases made before the policy change.

Limitation of Liability and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TERRORIMAR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TERRORIMAR DOES NOT GUARANTEE ANY SPECIFIC RESULTS FROM THE USE OF THE SERVICES. THE INFORMATION AND MATERIALS ON THE SERVICES MAY CONTAIN INACCURACIES AND TYPOGRAPHICAL ERRORS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TERRORIMAR, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO TERRORIMAR DURING THE 12-MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR $100 IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO TERRORIMAR.

Dispute Resolution

Governing Law

These Terms and any action related thereto will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of laws provisions.

Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be resolved as follows:

You and Terrorimar agree to first attempt to resolve any disputes informally. If a dispute cannot be resolved informally, you and Terrorimar agree to submit the dispute to binding arbitration in Toronto, Ontario, in accordance with the rules of the ADR Institute of Canada.

The arbitration shall be conducted by a single arbitrator mutually agreed upon by you and Terrorimar. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

YOU UNDERSTAND THAT BY AGREEING TO THESE TERMS, YOU ARE WAIVING YOUR RIGHT TO HAVE ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS RESOLVED IN COURT BY A JUDGE OR JURY.

Class Action Waiver

YOU AND TERRORIMAR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Termination

We may terminate or suspend your access to all or part of the Services, without prior notice or liability, for any reason, including, without limitation, if we believe, in our sole discretion, that you have violated these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

General Provisions

Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Terrorimar concerning the Services.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Terrorimar.

Assignment

These Terms are not assignable, transferable, or sublicensable by you except with Terrorimar's prior written consent. Terrorimar may assign, transfer, or delegate any of its rights and obligations hereunder without consent.
